（2）The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Forbsp;Majeure，whibsp;might ocbsp;during the process of manufacturing or in the cour of loading or transit.The Seller shall advi the Buyer immediately of the occurrenbsp;mentioned above and within_____ days thereafter the Seller shall nd a notibsp;by courier to the Buyer for their acceptanbsp;of a certificate of the act issued by the petent Gover Authorities under who jurisdi the act occurs as evidenbsp;thereof.Under subsp;circumstanbsp;the Seller，however，are still under the obligation to take all necessary measures to hasten the delivery of the goods.In bsp;the act lasts for more than _____days the Buyer shall have the right to bsp;the tract.
（3）Both parties agree to attempt to resolve all disputes between the parties with respebsp;to the application or interpretation of any term hereof of transa hereuhrough amicable iation.If a dispute ot be resolved in this manner to the satisfa of the Seller and the Buyer within a reasonable period of time，maximum not exceeding 90 days after the date of the notification of subsp;dispute，the bsp;under dispute shall be submitted to arbitration if the Buyer should decide not to take the bsp;to court at a plabsp;of jurisdi that the Buyer may deem appropriate.Unless otherwi agreed upon by both parties，subsp;arbitration shall be held in ________，and shall be governed by the rules and procedures of arbitration stipulated by the Fn Trade Arbitration ission of the a bsp;for the Promotion of Iional Trade.The decision by subsp;arbitration shall be accepted as final and binding upon both parties.The arbitration fees shall be borne by the losing party unless otherwi awarded.
