(2)推進我國國有企業治理的漸進性製度變遷與製度配置。一方麵,公司治理與製度環境之間存在路徑依賴關係。不同的製度環境形成不同的公司治理製度。如英美等國資本市場和控製權市場比較發達以及崇尚個人主義文化傳統等製度環境,導致英美等國公司治理製度安排是以市場導向為主;而德日等國公司控製權市場不發達、主銀行製度比較完善以及崇尚集體主義文化傳統等製度環境,導致德日等國公司治理製度安排以主銀行為主導。另一方麵,強製性製度變遷和漸進性製度變遷是公司治理轉型的兩種不同路徑。就漸進性製度變遷來說,私人契約的演進所導致的公司治理製度變遷是漸進性的,而政府強製性的製度變遷往往導致在公司治理轉型過程中契約關係發展的滯後性。俄羅斯國有企業治理轉型具有強製性製度變遷特征,政府是國有企業治理製度的主要供給者,缺乏契約配置。因而我國漸進性製度變遷過程要重視契約配置與製度配置的結合,特別是契約配置對製度配置的推動作用。
(3)推進契約配置與製度配置的耦合性是我國國有企業治理轉型的最優路徑選擇。一方麵,要完善與國有企業治理相適應的各項契約及其配置。契約短缺是製約我國國有企業治理轉型績效提高的關鍵。一是建立與完善國有企業治理的各種契約法規。二是保護契約自由、平等與公正。三是建立和完善國有企業治理的各項產權契約。另一方麵,要完善與國有企業治理相適應的各項製度及其配置。製度短缺同樣是製約我國國有企業治理轉型績效提高的關鍵。實現國有企業治理的製度配置必須從完善各項製度與製度環境入手。
