這兩個詞都是程度副詞，都有“稍微”、“頗有幾分”之意，但使用場合有所不同，它們的區別如下：
（一)fairly一般用來修飾表示褒義的形容詞或副詞，例如：good，well，nice，bravely等等；rather一般用來修飾表示貶義的形容詞和副詞，例如：bad，ugly,stupid（ly）等。
現將fairly和rather用在一個句子裏，以便區別：
He is fairly clever，but you are rather stupid．
他相當聰明而你比較笨。
He did fairly well in the exam,but you did rather badly．
他考得相當不錯而你考得比較差。
（二)不定冠詞a可以放在rather之前，也可以放在其後。fairly之後不能跟冠詞，a隻能放在它的前麵。例：This is a rather（or rather a）b lecture．都可以, 但隻能說This is a fairly iiure．不能說：This is fairly an iiure．
（三)請注意，有時用fairly和rather去修飾同一個字，但含義有所不同。如：
This is a fairly good book．
（言外之意是Perhaps you''lllike it.）
This is a rather good book．
（言外之意是I know you''lllike it.）
（四)rather用在表示褒義的形容詞和副詞之前時，其意改變了，表示to a large extent，very（很；十分）之意。例如上麵第（三）點中This is a rather good book．=This is a very good book．故其言外之意是I know you''lllike it.而fairly則表示“to some degree”（相當地）。
（五)rather用在形容詞比較級之前時，表示“slightly，a little”之意。例如在下句中，它可譯作“稍微”。
I want something rather smaller than this．
It was rather wor than you expected．
要注意副詞fairly和另一副詞fair的不同使用場合，在下列情況下，隻能用fair，不能用fairly：
play fair；deal fair（and square）with somebody；
bid fair；fight fair
